Welcome to NextGen Logic. These Terms of Service ("Terms") govern your access to and use of the services, website, and AI automation platform provided by NextGen Logic ("we," "us," or "our") at nextgenlogic.ai. By using our services, you agree to be bound by these Terms.

1. Service Description

NextGen Logic provides AI-powered automation services for service businesses, including:

  • AI Voice Assistant: Automated phone call handling for appointment booking and customer inquiries.
  • SMS Messaging: Automated text messages for reminders, confirmations, invoices, and support.
  • Scheduling and Dispatch: AI-driven appointment scheduling and technician assignment.
  • Payment Processing: Online invoicing and payment collection through Stripe.
  • Customer Communication: Email notifications, review requests, and follow-up messaging.
  • Business Intelligence: Reporting and analytics via AI-powered chat interfaces.

2. Eligibility and Account Responsibilities

  • You must be at least 18 years old with legal authority to enter into these Terms.
  • If using our services on behalf of a business, you represent authority to bind that business.
  • You are responsible for maintaining account credential confidentiality.
  • You agree to provide accurate, current, and complete information.

3. Acceptable Use

You agree not to:

  • Send spam or unsolicited messages that violate applicable laws (TCPA, CAN-SPAM).
  • Provide false information to our AI systems.
  • Reverse-engineer or access the source code of our systems.
  • Interfere with or disrupt service performance.
  • Resell or redistribute our services without written consent.
  • Use our platform for illegal, fraudulent, or harmful activity.

4. SMS Messaging Terms

  • Consent: By providing your phone number, you consent to receive autodialed SMS messages. Consent is not a condition of purchase.
  • Message Frequency: Varies based on service activity. You may receive several messages per week.
  • Message and Data Rates: Message and data rates may apply.
  • Opt-Out: Reply STOP to any message to opt out.
  • Help: Reply HELP or contact evan@nextgenlogic.ai or (970) 476-8760.
  • Supported Carriers: All major US wireless carriers. Carriers are not liable for delayed or undelivered messages.
  • Privacy: Your phone number and SMS consent data will not be sold or shared with third parties for marketing. See our Privacy Policy.

5. AI Voice Communication Terms

  • AI voice calls will be identified as automated. Calls may be recorded for quality assurance.
  • By providing your phone number, you consent to AI-assisted voice calls related to your account.
  • Opt out of automated voice calls by contacting evan@nextgenlogic.ai or (970) 476-8760.

6. Payment Terms

  • Payments are processed through Stripe. By paying, you agree to Stripe's Terms of Service.
  • Refund requests are handled case-by-case. Contact evan@nextgenlogic.ai.
  • We may suspend services for overdue balances.
  • You are responsible for applicable taxes.

7. Intellectual Property

  • Our Property: All software, AI models, designs, and materials remain our intellectual property.
  • Your Content: You retain ownership of data you provide. You grant us a limited license to use it to provide our services.

8. Confidentiality

We treat your business data, customer information, and operational details as confidential and will not disclose them except as necessary to provide services, as required by law, or with your consent.

9. Disclaimer of Warranties

Services are provided "as is" and "as available" without warranties of any kind. AI systems may occasionally produce inaccurate responses. AI-generated outputs should be reviewed and verified as appropriate.

10. Limitation of Liability

  • NextGen Logic shall not be liable for indirect, incidental, special, consequential, or punitive damages.
  • Total aggregate liability shall not exceed the amount you paid in the twelve months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless NextGen Logic from claims arising from your use of our services, violation of these Terms, or violation of applicable law.

12. Termination

  • By You: Stop using services and contact evan@nextgenlogic.ai.
  • By Us: We may suspend or terminate access for violation of these Terms or as required by law.
  • Upon termination, we will make reasonable efforts to provide your data upon request.

13. Governing Law and Dispute Resolution

  • Governed by the laws of the State of Colorado, United States.
  • Disputes shall first be addressed through good-faith negotiation, then binding arbitration or Colorado courts.
  • Class Action Waiver: Disputes must be brought individually, not as class actions.

14. Third-Party Services

Our platform integrates with Twilio, Stripe, Google, Vapi, and Supabase. Your use is subject to their respective terms and privacy policies.

15. Changes to These Terms

We may update these Terms. We will revise the "Last Updated" date and provide notice for material changes. Continued use constitutes acceptance.
