End User License Agreement

This End User License Agreement ("EULA") is a legal agreement between you ("User") and NextGen Logic LLC ("NextGen Logic," "we," "us," or "our") governing your use of the NextGen Logic platform and AI bookkeeping services, including any integrations with third-party accounting software such as QuickBooks Online and Xero (collectively, the "Service").

By using the Service, you agree to be bound by this EULA, our Terms of Service, and our Privacy Policy.

1. License Grant

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes, subject to this EULA and any applicable subscription agreement.

2. Permitted Use

You may use the Service to:

  • Connect your bank accounts via Plaid for automated transaction import.
  • Connect your QuickBooks Online or Xero account for bookkeeping and reconciliation.
  • Review, approve, and manage AI-generated transaction categorizations.
  • Generate financial reports and summaries from your connected accounts.
  • Receive automated notifications and digests about your financial data.

3. Restrictions

You may not:

  • Reverse-engineer, decompile, or disassemble any part of the Service.
  • Use the Service to access data belonging to another user or business without authorization.
  • Resell, sublicense, or redistribute access to the Service.
  • Use the Service for any unlawful purpose or in violation of applicable financial regulations.
  • Attempt to circumvent security measures or access controls.

4. Financial Data and Third-Party Integrations

  • Your Data: You retain ownership of all financial data processed through the Service. We access your data solely to provide the Service.
  • Accuracy: While we use AI to categorize and reconcile transactions, the Service is not a substitute for professional accounting advice. You are responsible for reviewing AI-generated categorizations and ensuring the accuracy of your books.
  • Third-Party Access: By connecting QuickBooks Online, Xero, or Plaid, you authorize us to access your data through those platforms' APIs. You may revoke this access at any time.
  • No Unauthorized Access: We will not access your accounting data beyond what is necessary to provide the Service, and we will not share your financial data with third parties except as described in our Privacy Policy.

5. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. AI-generated categorizations, reconciliations, and financial summaries may contain errors. You should review all outputs before relying on them for tax filings, financial decisions, or regulatory compliance. NextGen Logic is not a licensed CPA firm and does not provide tax, legal, or investment advice.

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEXTGEN LOGIC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE, INCLUDING BUT NOT LIMITED TO ERRORS IN TRANSACTION CATEGORIZATION, MISSED RECONCILIATIONS, OR INCORRECT FINANCIAL REPORTS. OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICE IN THE TWELVE MONTHS PRECEDING THE CLAIM.

7. Termination

Either party may terminate this EULA at any time. Upon termination, your license to use the Service ends. We will revoke access to your connected accounting platforms and cease processing your financial data. Previously synced data is retained per our Privacy Policy data retention section.

8. Governing Law

This EULA is governed by the laws of the State of Colorado, United States.
